
Venteja – Terms & Conditions
1. Application and Entire Agreement
These Terms and Conditions apply to the provision of subscription access to the Venteja SaaS platform
operated by The Succession Plan Ltd. Accepting a quotation, signing an Order Form, or accessing the platform
constitutes acceptance.
2. Services (SaaS Licence)
We grant a non-exclusive licence to use the Venteja platform for internal business purposes.
We may update or modify the platform at any time.
3. Subscription Term
Subscriptions run for 12 months and renew automatically unless cancelled with 90 days' notice.
Early cancellation requires payment of the remaining term.
4. Fees & Payment
Fees are per-user, billed quarterly in advance via Direct Debit or approved card. Late payments allow
suspension and termination. Fees exclude VAT.
5. Customer Obligations
You must maintain secure credentials, lawful use, accurate data input, and adherence to system rules.
6. Support
Standard support is provided via email during UK business hours. No SLA response times included.
7. Intellectual Property
All IP in Venteja belongs to The Succession Plan Ltd. No ownership transfers.
8. Data Protection
Processing follows our Privacy Policy. Customer is responsible for lawful data entry. We maintain
reasonable technical and organisational measures.
9. Confidentiality
Both parties must keep confidential non-public information except under legal disclosure obligations.
10. Suspension
We may suspend access for non-payment, misuse, breach, or security risk.
11. Termination
Termination applies for non-payment, material breach, or unlawful use. Data export available for 30 days.
12. Liability
Our liability is limited to 12 months of fees. We exclude indirect or consequential damages.
13. Third-Party Services
Venteja may rely on or integrate with third parties; we are not liable for their failures.
14. Publicity
We may reference Customer as a client unless Customer opts out in writing.
15. Governing Law
These Terms are governed by English law with exclusive jurisdiction of the courts of England & Wales.
